# OmniVidica End User License Agreement **Version 1.1** **Effective date: 2026-09-12** This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“you” or “User”) and **OmniVidica.com**, doing business under the OmniVidica name (“OmniVidica,” “we,” “us,” or “our”), with registered address at **Georgia, Tbilisi 0186, Vake district, Zurab Anjaparidze I lane, N4**, concerning the OmniVidica software products, including OmniVidica AP Suite, Omni Vidica Agent, associated plugins, components, documentation, updates and related software made available by OmniVidica (collectively, the “Software”). By expressly accepting this Agreement, downloading, activating, installing or using the Software after acceptance, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not download, activate, install or use the Software. Nothing in this Agreement excludes or limits any right or remedy that cannot lawfully be excluded or limited under applicable law. ## 1. License, Not Sale The Software is licensed, not sold. Subject to your compliance with this Agreement and the applicable license terms shown in your OmniVidica account, OmniVidica grants you a limited, non-exclusive, non-transferable and non-sublicensable right to install and use the Software for its intended purpose during the applicable license term. All rights not expressly granted to you remain reserved by OmniVidica and its licensors. Purchase of a license does not transfer ownership of the Software, its source code, intellectual property, algorithms, designs, documentation or underlying technology to you. ## 2. License Types and Term Your license type, duration and permitted number of activated devices are specified in your OmniVidica account. A license may be, for example: * perpetual; * time-limited; * beta; * reviewer; * developer; * complimentary; or * another license type expressly identified by OmniVidica. A perpetual license means that the underlying license does not have a predetermined expiration date. It does not guarantee perpetual availability of online services, compatibility with future third-party products or operating systems, or indefinite provision of updates or support. Time-limited licenses terminate when their stated validity period expires. Beta, reviewer, developer and complimentary licenses may be subject to additional limitations communicated when they are issued. ## 3. Device Activation and License Validation The Software may require device activation and periodic license validation. The number of simultaneously activated devices is limited according to the license associated with your OmniVidica account. For licensing and anti-abuse purposes, the Software may generate and transmit limited device-identification information, including a cryptographic hash derived from stable device characteristics, a device public key, application version information, activation identifiers and network information such as IP address. Raw private cryptographic keys generated on your device are not intended to be transmitted to OmniVidica. Further information concerning processing of personal data is provided in the OmniVidica Privacy Policy. The Software may periodically connect to OmniVidica servers to validate, renew or refresh local license authorization. Temporary loss of Internet connectivity may be supported for a limited offline period determined by the applicable licensing system. You may deactivate eligible devices through your OmniVidica account where that functionality is available. ## 4. Permitted Use You may use the Software for lawful personal or commercial audiovisual production purposes, subject to the scope of your license. Unless OmniVidica expressly permits otherwise in writing, you may not: a. sell, rent, lease, sublicense, redistribute, publish or commercially provide the Software itself to third parties; b. share an account, activation, license token or other licensing credential for the purpose of exceeding the permitted device or user limits; c. copy the Software except for copies reasonably necessary for permitted installation, backup or use; d. circumvent, disable, interfere with or attempt to defeat activation, license validation, cryptographic protection or other technical protection mechanisms; e. alter or falsify licensing information; f. use the Software or its components to create or distribute an unauthorized replacement, clone or derivative product; g. remove or obscure proprietary notices contained in the Software; or h. use the Software for unlawful activity. ## 5. Reverse Engineering Except to the extent expressly permitted by applicable law notwithstanding this restriction, you may not reverse engineer, decompile, disassemble or otherwise attempt to derive the non-public source code, trade secrets, protected algorithms or internal implementation of the Software. Nothing in this section restricts rights that applicable law expressly provides and does not permit parties to waive by contract. ## 6. Third-Party Products and Adobe Premiere Pro OmniVidica AP Suite is designed to operate with certain versions of third-party software, including Adobe Premiere Pro and related Adobe technologies. OmniVidica is an independent software publisher. OmniVidica is not Adobe Inc., is not controlled by Adobe Inc., and does not make representations on behalf of Adobe Inc. Adobe, Premiere Pro, Creative Cloud and other third-party product names belong to their respective owners. Third-party software is governed by the terms of its respective provider. OmniVidica does not control third-party software, APIs, plugin systems, operating systems or services. A third-party provider may at any time modify, discontinue, restrict or alter software, APIs, plugin frameworks, file formats or other functionality on which the Software depends. Accordingly, OmniVidica does not guarantee that any particular version of the Software will remain compatible with every past or future version of Adobe Premiere Pro, Adobe Creative Cloud, Microsoft Windows or any other third-party product. ## 7. Automated Operations and Project Modification The Software contains automation features capable of modifying or assisting with Adobe Premiere Pro projects and related production data. Depending on the functions you use, the Software may create, modify, move, import, reference or manipulate, among other things: * projects; * sequences; * clips; * effects; * keyframes; * media references; * proxy relationships; * imported files; * metadata; * clipboard content; * file locations; and * other production data. Automated operations may produce unintended results because of software defects, unexpected project states, third-party changes, incompatible media, unusual workflows or user configuration. You are responsible for reviewing automated operations before relying on their results. ## 8. Backups and Data Protection **You are responsible for maintaining appropriate backups of your projects, source media and other important data before using automation or modification features of the Software.** You should not rely on the Software as the sole means of preserving any project, media or other data. To the maximum extent permitted by applicable law, OmniVidica is not responsible for loss, corruption, alteration or destruction of project files, source media, rendered media, edits, sequences, metadata, configuration, production work or other data arising from use of or inability to use the Software. ## 9. Updates and Changes OmniVidica may provide updates, bug fixes, security updates, compatibility updates, improvements or new versions of the Software. Updates may add, modify or remove features where reasonably necessary for technical, security, legal, compatibility or product-development reasons. Certain updates may be necessary to maintain compatibility, security, licensing or access to online functionality. Unless expressly stated otherwise, updates provided for the Software are governed by this Agreement or by a later version of this Agreement presented to you for acceptance. A perpetual license does not necessarily include every future major product version unless expressly stated. ## 10. Availability and Support OmniVidica may provide technical support, online activation, downloads, account management and other online facilities. Unless a specific service level has been expressly agreed in writing, such services are provided on a commercially reasonable basis and are not guaranteed to be available continuously or without interruption. Maintenance, Internet outages, security incidents, third-party failures and circumstances beyond OmniVidica's reasonable control may temporarily affect service availability. ## 11. Beta, Preview and Evaluation Software Software identified as beta, preview, experimental, evaluation, reviewer or pre-release software may be incomplete and may contain errors. Such Software may change substantially or cease to be available. You should not rely on pre-release Software for production-critical work unless you independently determine that doing so is appropriate. To the maximum extent permitted by applicable law, pre-release and no-fee Software is provided without any commitment regarding continued availability, functionality or support. ## 12. Intellectual Property The Software, including its source code, executable code, user interface, designs, graphics, documentation, algorithms, workflows, trademarks and other content, is owned by OmniVidica or its licensors and is protected by applicable intellectual-property laws and international treaties. This Agreement grants only the limited right to use the Software described herein. No ownership rights are transferred to you. ## 13. Feedback If you voluntarily provide suggestions, ideas, error reports or other feedback concerning the Software, you grant OmniVidica the right to use that feedback for developing, improving and supporting its products without an obligation to compensate you. This section does not transfer ownership of your projects, media or other user-created content to OmniVidica. ## 14. Privacy Use of the Software and OmniVidica online services may involve processing of personal data. The OmniVidica Privacy Policy explains what information is processed, why it is processed and how it is handled. The Privacy Policy is separate from this Agreement. Acceptance of this EULA is not intended to constitute consent to data processing where applicable law requires a separate legal basis or separate consent. ## 15. Security You are responsible for maintaining the security of your OmniVidica account credentials and devices. You must notify OmniVidica without unreasonable delay if you reasonably believe your account or license credentials have been compromised. You may not knowingly use compromised, stolen, forged or unauthorized license credentials. ## 16. Suspension and Termination OmniVidica may suspend or terminate a license where reasonably necessary if: a. the license was obtained fraudulently; b. payment associated with the license is reversed, refunded, charged back or determined to be fraudulent, subject to applicable law; c. the license or activation system is deliberately circumvented or manipulated; d. the Software is redistributed in material violation of this Agreement; e. the account is used to facilitate unlawful activity; or f. you materially breach this Agreement and, where the breach is capable of remedy, fail to remedy it within a reasonable period after notice. Termination does not affect rights or obligations that by their nature are intended to survive termination. Nothing in this section limits mandatory consumer rights. ## 17. Disclaimer of Warranties **TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO ANY MANDATORY STATUTORY RIGHTS THAT APPLY TO YOU, THE SOFTWARE AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”** OmniVidica disclaims, to the maximum extent permitted by applicable law, all warranties and conditions that may lawfully be disclaimed, whether express, implied or statutory, including warranties or conditions relating to: * merchantability; * satisfactory quality; * fitness for a particular purpose; * accuracy; * reliability; * compatibility; * availability; * uninterrupted operation; * error-free operation; and * non-infringement. OmniVidica does not warrant that the Software will satisfy every workflow requirement, operate without errors, remain compatible with every future third-party software version, or prevent every possible loss of data. Where applicable consumer law provides mandatory guarantees or remedies for digital content or services, those rights are not excluded by this Agreement. ## 18. Limitation of Liability **TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNIVIDICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS OR DAMAGE ARISING OUT OF OR RELATED TO THE SOFTWARE OR RELATED SERVICES.** This includes, to the maximum extent permitted by law, loss of: * profits; * revenue; * business; * contracts; * customers; * opportunity; * goodwill; * production time; * working time; * project data; * media; * edits; * renders; * metadata; * files; or * other digital content. To the maximum extent permitted by applicable law, OmniVidica's total aggregate liability arising from or relating to a paid license shall not exceed the amount you actually paid to OmniVidica for the applicable license giving rise to the claim. For a recurring paid license, where applicable, the aggregate liability shall not exceed the amount paid for the applicable license during the twelve months immediately preceding the event giving rise to the claim. Nothing in this Agreement excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited, including any liability for which exclusion is prohibited by applicable consumer law. ## 19. Indemnification for Unlawful or Unauthorized Use To the extent permitted by applicable law and, where you are acting in a business or professional capacity, you agree to indemnify OmniVidica against third-party claims, damages and reasonable costs directly resulting from your unlawful use of the Software or your material violation of Sections 4 or 5 of this Agreement. This section does not apply to consumers to the extent such an obligation would be prohibited or unenforceable under applicable consumer law. ## 20. Export, Sanctions and Applicable Restrictions You may not use, export, re-export or transfer the Software in violation of applicable export-control, sanctions or trade laws that lawfully apply to the transaction or use. OmniVidica may decline or discontinue distribution or licensing where required by applicable law or by service providers whose services are reasonably necessary to supply the Software. ## 21. Changes to This Agreement OmniVidica may revise this Agreement from time to time. A new version will have a new version number and effective date. Where a revised Agreement materially affects your rights or obligations and acceptance is legally or contractually required, OmniVidica may require you to expressly accept the new version before downloading a new release, activating an additional device, renewing a license or continuing to use relevant online services. OmniVidica will not silently alter the text of a version that you have already accepted. ## 22. Governing Law and Jurisdiction This Agreement is governed by the laws of Georgia, without regard to conflict-of-law principles, except where mandatory law applicable to you requires otherwise. Where legally permitted, disputes arising out of or relating to this Agreement shall be subject to the competent courts of Georgia. If you are a consumer, nothing in this section deprives you of protections or jurisdictional rights that mandatory law of your country of residence grants to you. ## 23. Severability If any provision of this Agreement is held invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent legally permitted or, where necessary, severed. The remaining provisions shall remain in effect to the extent permitted by law. ## 24. No Waiver Failure by OmniVidica to enforce a provision of this Agreement on one occasion does not waive the right to enforce that provision later. ## 25. Entire Agreement This Agreement constitutes the agreement concerning your license and use of the Software, together with any license-specific terms expressly presented to you. Separate documents may govern other matters, including: * purchases and payments; * refunds and withdrawal rights; * privacy; * website use; and * specific promotional or beta programs. If a mandatory law conflicts with this Agreement, the mandatory law controls to the extent of that conflict. ## 26.
